What to Know About Wealth Protection in Indonesia

Wealth protection in Indonesia is not about hiding assets or finding one perfect document. It means identifying what you own, choosing lawful ownership structures, and keeping clear records.

I would start with your marital status, the source of your assets, and the legal title attached to each asset. Those details shape which protections actually work.

Start with Ownership, not Paperwork

First, separate personal assets from jointly acquired assets. Under Article 35 of the 1974 Marriage Law, property acquired during marriage generally becomes marital property. Property owned before marriage, plus gifts and inheritances received individually, generally remains under that spouse’s control. The law allows spouses to agree otherwise.

That distinction matters because a certificate or account in one spouse’s name may not settle whether an asset is personal or marital property. The asset’s acquisition date, funding source, and any applicable agreement may also matter. Keep purchase contracts, bank records, inheritance documents, and gift deeds together.

For Muslim couples, the KHI recognizes both marital property and each spouse’s separate property. Articles 85–87 address separate assets, including premarital property, gifts, and inheritances. Article 91 also recognizes that marital property can include tangible and intangible assets, rights, and obligations. The KHI is disseminated through Presidential Instruction No. 1 of 1991 and guides relevant religious-court matters.

Use a Marital Agreement Deliberately

A marital agreement can define which assets stay separate, how future acquisitions are treated, and how financial responsibilities are handled. You can make an agreement before or during marriage. The Constitutional Court’s Decision No. 69/PUU-XIII/2015 expanded Article 29 of the Marriage Law to permit agreements during marriage.

But do not treat an agreement as a magic shield. It should be clear, properly formalized, and consistent with applicable law. The parties’ consent matters, as do the rights of third parties. A poorly drafted agreement can create disputes instead of preventing them. Have an Indonesian qualified lawyer at Wijaya & Co review the wording and registration steps.

The Civil Code is also relevant, but do not assume its marital-property rules apply identically to every couple today. Article 119 describes a statutory community-property regime unless a marriage agreement provides otherwise. The Marriage Law and, where applicable, the KHI must also be considered. Your marriage date, religion, agreement, and circumstances can affect the analysis.

Keep Company Property Separate

A limited liability company can help separate business assets from an owner’s personal assets. The governing framework is Law No. 40 of 2007 on Limited Liability Companies, as amended by Law No. 6 of 2023 on Job Creation. Article 3 generally limits a shareholder’s liability to their shares.

That separation is not absolute. Article 3 permits exceptions, including when a shareholder acts in bad faith, unlawfully uses company assets, or participates in unlawful conduct. Keep company accounts, contracts, minutes, and assets distinct from your personal affairs. Do not use a company as a personal wallet. Also review personal guarantees, because those can create direct obligations beyond ordinary shareholder liability.

Protect Land and Property Rights

For land, confirm the type of right, the registered holder, and any recorded encumbrances. The Basic Agrarian Law recognizes different land rights, including ownership, cultivation, building, and use rights. It also provides for land registration to support legal certainty. Registration alone cannot fix every ownership dispute, but accurate, updated records are a strong first line of protection.

The land rules also place important limits on ownership. In general, only Indonesian citizens may hold Hak Milik, the strongest individual land right. Foreign nationals face different restrictions, and structures that disguise the true owner can create serious legal risks. Government Regulation No. 18 of 2021 is governing the current land registration and land-rights procedures, alongside the Basic Agrarian Law.

Make Records Do Real Work

Good records make it easier to prove ownership and resolve disputes. Keep deeds, certificates, tax records, loan documents, company records, and insurance policies in a secure, organized place. Record where purchase funds came from, especially when separate and marital assets may overlap. For land, check that registration data matches the transaction documents and the physical property.

Also plan for death and incapacity. List your assets, liabilities, intended beneficiaries, and the documents needed to manage each asset. Inheritance rules may differ depending on the applicable legal regime. The KHI includes inheritance provisions, while the Civil Code contains separate inheritance rules. A qualified legal adviser at Wijaya & Co can help you coordinate a will or other succession arrangements with your family circumstances and property structure.

The practical Takeaway

I would begin with a simple asset map: what you own, when you acquired it, how you funded it, whose name appears on the title, and whether anyone else has a claim. Then review your marital agreement, company structure, land documents, and succession plan together. Wealth protection works best when those pieces tell one consistent story.

This post is general information, not advice on a specific transaction or family situation. Indonesian property rights depend on the facts, the applicable legal regime, and current implementing rules.
